Terms of Service

1. The Service

SARA is a marketing platform for licensed real estate professionals. It helps you create and manage marketing content and, where you choose to connect it, manage your own Google Business Profile, including publishing update posts and responding to reviews. The Service is a tool that acts at your direction; you remain responsible for the content you publish and for compliance with all laws and platform rules that apply to your business.

2. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You agree to provide accurate account information and to keep it current. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly at will@itswilldraper.com if you suspect unauthorized use.

3. Acceptable Use

You agree not to:

• Use the Service for any unlawful, deceptive, or fraudulent purpose.
• Publish content that is false, misleading, infringing, defamatory, or that violates the policies of Google or any other connected platform.
• Post fake, incentivized, or otherwise non-compliant reviews or responses.
• Attempt to gain unauthorized access to the Service, other users' accounts, or our systems.
• Reverse engineer, resell, or sublicense the Service except as expressly permitted.
• Use the Service to manage a Google Business Profile you do not own or are not authorized to manage.

You are solely responsible for ensuring that any content you publish complies with the Google Business Profile content policies and with applicable real estate advertising and fair housing laws.

4. Google Business Profile and Third-Party Services

When you connect your Google Business Profile, you authorize SARA to access and act on your profile through Google's APIs using the permissions you grant. Our use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements, as described in our Privacy Policy.

Your use of Google services remains subject to Google's own terms and policies. You may disconnect your Google Business Profile at any time, which revokes our access going forward. We are not responsible for changes Google makes to its APIs, policies, or availability that affect the Service.

5. Your Content

You retain ownership of the content you create, upload, or publish through the Service ("Your Content"). You grant us a limited license to host, process, and transmit Your Content solely to operate and provide the Service to you, including delivering it to platforms you connect, such as Google. You represent that you have the rights necessary to use and publish Your Content.

6. Subscriptions, Fees, and Refunds

Some features of the Service require payment of fees or a subscription. Fees, billing cycles, and any applicable taxes are presented at the point of purchase. Unless stated otherwise or required by law, payments are non-refundable. We may change our pricing prospectively; we will give reasonable notice of changes that affect an active subscription. You are responsible for all charges incurred under your account.

7. Intellectual Property

The Service, including its software, design, branding, and content we provide, is owned by Draper & Co. Realty, Inc. and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own business purposes in accordance with these Terms. No other rights are granted.

8. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will achieve any particular marketing or business result. You use the Service at your own risk.

9. Limitation of Liability

To the maximum extent permitted by law, Draper & Co. Realty, Inc. and its owner, officers, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Draper & Co. Realty, Inc. from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Service, or your violation of these Terms or applicable law.

11. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if necessary to protect the Service or other users. Upon termination, your right to use the Service ends, and we will handle your data as described in our Privacy Policy.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, notify you through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws rules. Any dispute arising under these Terms will be brought in the state or federal courts located in North Carolina, and you consent to their jurisdiction.
